Terms & Conditions
Payment Structure
Ecommerce-website-design.co.nz will create and market a shopping website for you, in exchange for a percentage of the online shop's monthly turnover on an ongoing basis, as follows:
- 6.9% of website turnover up to $10,000 in any given month
- 5.0% of website turnover between $10,001 and $50,000 in any given month
- 3.0% of website turnover above $50,001 in any given month
Initial Payment The first $5,000 of your website commissions is due in advance of your website going live. This will be deducted against the monthly commissions due to Ecommerce Website Design, as outlined above.
When your website is live, you won't pay anything else until your online shop reaches sales that exceed $5,000 in commissions due, no matter how long that takes.
Termination
If you decide that you don't want to continue with your ecommerce web solution, you must notify us in writing that you wish to cancel your website.
We will take down the website and stop our online marketing efforts within 1 business day of receiving your notification. We will send you an invoice for any outstanding commission earned.
The website design and programming will remain property of Ecommerce Website Design. You will retain ownership of your domain name.
Your $5,000 initial investment is non-refundable, even if your website has not reached sales equal to $5,000 in commissions due at the time of cancellation.
Refusal or discontinuation of services - based on client action
Ecommerce-webiste-design.co.nz reserves the right to terminate service if:

The client fails to fill customer orders placed through the online shop.

The client fails to keep the online shop stocked.

The client uses our services (website, e-mail addresses or servers) for any unlawful purposes.

The client sends Unsolicited Commercial Email (UCE) or SPAM over our network.
If this is the case, the $5,000 initial investment is non-refundable, even if your website has not reached sales equal to $5,000 in commissions due at the time of cancellation.
Refusal or discontinuation of services - other reasons
Ecommerce-website-design.co.nz reserves the right to discontinue services for any other reasons. If this is the case, we will provide at least 90 days notice prior to cancellation to give the client time to have another solution created. The $5,000 initial investment will be refunded, less the commissions due for website sales up to the date of cancellation, if any. The client may have the opportunity to buy the website design and/or website hosting at an agreed upon price before cancellation.
Indemnification
ecommerce-website-design.co.nz shall not be responsible for any claimed damages, including incidental and consequential damages, which may arise from our servers going off-line or being unavailable for any reason whatsoever. Further, ecommerce-website-design.co.nz shall not be responsible for any claimed damages, including incidental or consequential damages, resulting from the corruption or deletion of any web site from one of our servers.
These Terms & Conditions are subject to change. It is the responsibility of the client (account holder or registrant of our services) to read and accept these conditions before using any of our services. By obtaining our services, the client is stating that they agree with all of our Terms & Conditions and understand them fully. This Terms & Conditions page of our website shall be legally binding and applies to all clients at all times - the most recent published information here applies to all clients - existing and new.
